Instructions for making the flagging notification

Obligation to notify major share holdings and the disclosure of the flagging notification

The obligation to notify major shareholdings and proportions of voting rights applies to listed companies' (such as Fondia) shareholder, person comparable to a shareholder and the listed company itself.

The amendment to the Securities Markets Act, which extended the notification obligation to First North companies, entered into force on 19 April 2024.

Under the Securities Market Act (746/2012), a shareholder or a person comparable to a shareholder must submit a flagging notification to the company and the Finnish Financial Supervisory Authority if his/her own and/or the holdings of his/her controlled entities' share of the voting rights or shares of the listed company exceeds, falls below or reaches the flagging threshold.

A shareholder of a listed company, such as Fondia, and a person comprable to a shareholder must make a flagging notification to the company and to the Financial Supervisory Authority as follows:

Flagging notifications thresholds and deadlines

  • The notification must be made whenever one's proportion of holdings or votes in the company reaches, exceeds or falls below 5%, 10%, 15%, 20%, 25%, 30%, 50%, 2/3 or 90% of the voting rights or of the number of shares in the company.

  • Shareholders of Fondia and persons comparable to a shareholder have an obligation to notify changes in their shareholdings in accordance with the above thresholds to both the Finnish Financial Supervisory Authority (FIN-FSA) and Fondia.

  • A notification of major holdings must be made without undue delay, but no later than the next trading day after the shareholder has learned or should have learned of a transaction leading to the breach of a notification threshold.

  • Further information and the notification form are available on the website of the Financial Supervisory Authority

  • Please make the flagging notification in writing using the flagging form and send it to the Financial Supervisory Authority at liputukset@finanssivalvonta.fi and to the listed company, Fondia, to insider@fondia.com.

  • The listed company, Fondia, must publish the flagging notification made by the shareholder.
